1. INTRODUCTION

Please read these General Conditions of Sale carefully, as by placing an order, you are accepting the general conditions set out below. You should also carefully review the Privacy Policy www.purina.co.uk/privacy and the Website Terms and Conditions of Use and any other conditions that may appear on the Purina website from time to time, such as during promotions or campaigns.

Throughout the General Conditions below, the terms "we", "us", "our" and "Purina” refer to Nestlé Purina Commercial Operations Limited, registered in England & Wales, with registered office at Park House South, Crawley Business Quarter, Manor Royal, Crawley, West Sussex RH10 9AD, company registration number 11963923.

"You" or “Customer” refers to any individual who places an order on this site 0800 206 2548 for Purina branded pet food product(s) (“Products”).

Each order for Products placed with Purina or any of its affiliated companies will be governed by the General Conditions of Sale in force at the time of the order (to the exclusion of all other conditions).

You can download, save and/or print a copy of your order receipt confirmation email and these General Conditions of Sale for your records.

From time to time, we may modify the General Conditions of Sale by posting a new updated version on this website. You are invited to read our General Conditions of Sale each time you place an Order, to ensure you have seen the current version. Updated General Conditions of Sale will only apply to orders placed by you prior to the date of modification where the update was required by law or governmental authority. In such a case, you may exercise your right to cancel if you are not happy with the changes as they apply to your order.


2. ORDERS

2.1 Registration

In order to place an order, you must provide up-to-date registration information, such as your name or email address.

Please let us know about any changes in your address or other registration information as soon as possible by updating your personal details on this website.


2.2 Password and Confidentiality

After the registration procedure is completed on the website, you will have a unique member account username and password (the "Credentials").

Security and confidentiality are important to us. To prevent your data from being compromised or eavesdropped during the use of our website[we enforce the TLS protocol (Transport Layer Security)], which establishes a secure and encrypted transmission between your browser and our servers, at all times on our e-Commerce platforms and at least during login on other platforms.

We ask you, and it remains your responsibility, to maintain the confidentiality and security of your Credentials. Any successful login using your Credentials, regardless of whether it was executed by you or someone else, will be deemed as a personal act by you.

If you know, or have reason to believe that your Credentials have been stolen or misused, or in case of any other security issue, please notify Purina immediately by calling the Customer Relationship Centre on 0800 206 2548 (UK Freephone).

You are also invited to take the following precautions:

When you have completed your visit of the website, always use the Logout button on the top to effectively close the session.

Your account username, password and access rights are exclusively for your personal use and should not be transferred to or shared with any other person.

If Purina knows or has reason to believe that your Credentials are or have been used by another person, Purina may immediately suspend the use of such account (including processing any transaction from such account).


2.3 Order Process

You can place your Orders by telephone on 0800 206 2548 (UK Freephone) or by internet on this website.

An order of Purina Products through the website is placed by clicking on "Add to Basket" button and proceeding to the checkout page. Minimum and maximum order quantities may also apply, which Purina reserves the right to amend from time to time and in its sole discretion.

After placing an order of Products on the Website, you will access an order confirmation web page allowing you to review your order, choose your delivery method and check the total price.

After accepting the General Conditions of Sale, you will be invited to provide payment details to finalise your order.

Please never provide your debit or credit card details on letters or email. If required, we will call you to finalise the order and proceed to payment in a secure way.


2.4 Order Confirmation

Once you have submitted and confirmed your order(s), Purina will acknowledge receipt of the order(s) by setting out details of the ordered Products. This acknowledgement does not confirm our acceptance of your offer to purchase the ordered Products.

After confirming receipt of your order(s), Purina will check that the relevant Products are in stock. A contract for the sale of Products between you and Purina will only be formed when Purina confirms that all or part of the Products are still available and have been dispatched. The contract is formed on sending of the shipment confirmation email.

The confirmation of shipment email from Purina will be proof of a binding agreement between you and Purina. The contract for the sale of Products will relate only to those Products whose dispatch we have confirmed in this manner. To the extent permitted by law, Purina is entitled to refuse, cancel or terminate an order for any reasonable ground and at any time. For example we may refuse an order if a Product is totally or partially unavailable after the order is made. In this situation, you shall be informed of the delivery of partial order or the cancellation of your order.

If you have already paid for some or all of the Products, we will refund you the full amount in respect of the relevant Products and any delivery costs charged as soon as possible. Purina may also refuse an order if there is an ongoing dispute concerning payment of prior orders or in the case of abnormal orders and orders which Purina suspects are not placed in good faith.


2.5 Pricing & Promotions

The prices payable for the items you order are those displayed on this website on the date you place your order, inclusive of VAT but exclusive of delivery charges.

Delivery charges, when applicable, will be billed at the rates indicated on the website on the date you place your order, calculated in accordance with the size of the order and the delivery method you select. You will be advised of the delivery charges applicable to your order during the checkout process and before you place your order.

The price of a Product and delivery costs displayed on the website and confirmed in your order confirmation will normally be honoured.

Purina reserves the right to modify the prices of its Products in the future at any time and without notice. The modification of prices will not apply to orders of Products already confirmed by Purina.


2.5.1 Purina FELIX Pick 'n' Mix Snacks promotion

1.This promotion is open to residents of the UK, CI, IoM & ROI, aged 18 or over only.

2.The offer of two free FELIX Snack Bags is available to qualifying participants who place a second order for FELIX Pick ‘n’ Mix, and enter the promotional code as stated in their email, via PURINA Direct at www.direct.purina.co.uk between the dates specified in the email with their code.

3.The offer is limited to one offer per applicant. The promotion is only available for second orders placed for Felix Pick ‘n’ Mix during the stated promotional period and cannot be applied retrospectively. No trade, third party or bulk applications permitted.

4.The Promoter reserves the right at its sole discretion to suspend any user found to be attempting to make more than one valid claim by tampering with the operation of the promotion, setting up multiple accounts, using multiple identities or to be acting in any manner deemed by the Promoter to be in violation of the terms and conditions; or to be acting in any manner deemed by the Promoter to be disruptive.

5.At all times during the promotion, the Promoter reserves the right to perform internal checks relating to the applicant to ensure the integrity of the promotion.

6. The complimentary gift is subject to availability while stocks last. In the event of out of stock of the participants first choice of Snack Bags, they may choose one of the other flavours. The Promoter does not accept responsibility for any late applications or any communications line failure, regardless of cause, or inaccessibility or unavailability of the internet.

2. The 10% saving is available to qualifying participants who are placing their 1st order on the Purina Direct site (https://direct.purina.co.uk), and enter the code as stated at the top of the website, via PURINA Direct at www.direct.purina.co.uk.

2.6 Payment

Payment shall be made by one of the methods you have selected during the checkout process. Payments can be made by American express, Maestro, Paypal, Google Pay & Apple Pay.

Payments must specify your client number and/or invoice number. Payment by credit or debit card is immediately due and payable at the time you place your order.

Your card details are encrypted during all transmissions for security purposes.

Depending on the payment establishment or payment service provider, payment by credit card may require an authorisation or be executed in multiples steps. In the event Purina does not receive the authorisation, Purina reserves the right to cancel your order.

No order will be shipped until payment is received or payment has been authorised or processed. The data registered by our payment system constitutes full proof of the financial transactions.

To ensure that your credit, debit or charge card is not being used without your consent, we may validate name, address and other personal information supplied by you during the order process against appropriate third party databases. In performing these checks, personal information provided by you may be disclosed to a registered Credit Reference Agency which may keep a record of that information.


2.7 Refer a Friend

Subject to the terms set out below, you may earn ‘credit’ for use on this Website by referring a new customer(s) to us through our referral scheme by sharing the referral link and/or referral code we provide to you (the “Referral Scheme”). You are only eligible to participate as a ‘referrer’ in this Referral Scheme if you have previously placed an order on the Website.

A new customer is a natural person who has not previously placed an order with us (a "Referee"). If the Referee has an active account on the Website but has not previously placed an order on the Website then they are entitled to participate in the Referral Scheme through the ‘referral link’ only. If the Referee already has an account on the Website then they will be unable to participate in the Referral Scheme using a ‘referral code’ (regardless of whether they have previously placed an order).

If the Referee has clicked through your referral link the discount code will automatically be applied at checkout. If the Referee is using a referral code, the Referee must enter this code at checkout.

For the avoidance of doubt, any credit generated from the Referral Scheme may only be spent on the Website and neither you nor the Referee is entitled to receive any payment of any kind in respect of the credit. The credit can only be redeemed on new orders is not redeemable for cash. The credit that stands to your Referral Scheme account is not transferable in any way.

You will receive the applicable credit on your account 24 hours after dispatch of the Referee's order. If the Referee cancels their order for any reason within 24 hours of it being dispatched, you will not qualify for any credit. You will receive your credit in the default currency of the Website.

Any credit accrued through the Referral Scheme that has not been used within 12 months from the date of accrual will expire.

The Referee must place an order with a value of at least the minimum value as stated on the Website from time to time.

Subscription products are excluded from the Referral Scheme. We may exclude additional products from the Referral Scheme at our sole discretion from time to time.

We may, in our sole discretion, withdraw your credit generated from the Referral Scheme at any time if we believe or suspect that your use of the Referral Scheme is fraudulent, misleading or contrary to these terms.


3. DELIVERIES

Any order placed through this website can only be delivered to the United Kingdom of Great Britain and Northern Ireland. We regret that we cannot deliver elsewhere.

3.1 Delivery

All orders confirmed by Purina will be delivered to the delivery address you specified when placing your order. Purina and/or companies authorised by Purina may contact you by telephone and/or email with information regarding your order and delivery.

Purina does its utmost to ensure standard deliveries (after receipt of cleared funds and subject to stock availability, factors beyond Purina's reasonable control and finance validation checks that Purina, in its absolute discretion, deems to be necessary)in 2-3 days to the UK mainland (for orders placed by 3.30pm) and Northern Ireland, and within 5 working days to the Scottish Highlands and Islands. We regret that we are currently unable to deliver to the Channel Islands.

In case the delivery has not occurred within the above indicated time periods, you should either make contact with Purina to agree on an additional delay to deliver the Products, or cancel your order by notifying Purina. In order to deliver orders on time, Purina strives to keep sufficient stocks of Products. However, it is possible that stocks of certain Products turn out to be insufficient for all deliveries to be effected on time. In such cases, you accept that Purina is entitled to complete partial deliveries, or to defer delivery.

Orders for Products available in limited quantities (such as Limited Editions, etc.) will only be accepted by usas long as stocks allow.


3.2 Transfer of property and risk

The delivered Purina Products shall remain our property until you have paid all amounts owing under the agreement in full, including the payment of all costs included in the order confirmation. All risk of loss or damage to the Products shall be transferred to you upon your taking delivery (or of any persons acting in your place).


3.3 Product verification

In case you observe damage or missing items, you must notify our Customer Relationship Centre within a reasonable period after you discovered the damage or missing item and not later than two months. Purina shall in such case provide you with identical replacement Products. This does not affect your legal warranty statutory rights detailed in Article 4.5 of the General Conditions of Sale.


4. RETURNS AND AFTER SALES

4.1 Cancellations

If you cancel your order before you have received Products, you are entitled to refuse the delivery of the Products and we will refund you in full without undue delay and in any event within 14 days after you have notified us of cancelling your order.


4.2 Right of Withdrawal

You may decide to cancel your contract at any time from the date of the shipment confirmation up until the date that is 14 days from receipt by you of the Products (or in the case of partial delivery, 14 days from receipt of the last of the Products forming part of the same order) by calling our Customer Services Team on 0800 206 2548 (UK Freephone).

Once you have notified us of your intention to return the Products, you will have 14 days to return the Products to us, in accordance with our return policy detailed in Article 4.4 of these General Conditions of Sale. You are liable for any diminished value of the Products resulting from the handling by you, other than what is necessary to establish the nature, characteristics and functioning of the Products.


4.3 Effects of withdrawal

If you exercise your withdrawal right, we shall reimburse to you all payments received from you, including the costs of delivery, without undue delay and in any event not later than 14 days from the day on which we have received the Products back or you have supplied evidence of having sent back the Products, whichever is the earliest. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless we have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.


4.4 Return Policy

When you return the Products to us, you must return them in an undamaged and unused condition at your expense (unless the Products are faulty or not as described). Insofar as possible and practicable, the Products should be returned in their original condition and packaging. To help us process your request, you should return the Products with a completed returns form which you can request by contacting a member of our Customer Services Team.

At your expense (unless the Products are faulty or not as described), you shall send back the Products, without undue delay and in any event not later than 14 days from the day on which you communicate your withdrawal from this contract to us.

Your legal rights regarding defective Products (those that are faulty or not as described) are not affected by your rights of return and refund in this Article 4 or by anything in these General Conditions of Sale.

5. LIABILITY

The photographs and texts illustrating and describing the Products on this Website are non-contractual and for information purposes alone. Purina shall not be liable in case of errors or omissions in the photographs or texts displayed on this website. Without limiting the scope of these General Conditions of Sale and to the extent permitted by applicable law, Purina's liability for losses you suffer as a result of our breach of these General Conditions of Sale or our negligence shall be no greater in amount than the purchase price of the Products in respect of which damages are claimed.

Purina is only responsible for any loss or damage you suffer which is a foreseeable consequence of our breach of these General Conditions of Sale or our negligence. We are not responsible for any loss or damage which is not foreseeable.

Loss or damage is foreseeable if it is an obvious consequence of our breach or where it could be contemplated by you and us at the time your order is accepted by us. We expressly exclude any liability for any loss or damage which may be incurred by you as a result of your breach of these General Conditions of Sale. We only supply the Products for personal and private use and you agree not to use the Products for any commercial, business or resale purposes. We have no liability to you for any loss of profit, loss of business, business interruption or loss of business opportunity.

Nothing in these General Conditions of Sale exclude or limits our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; (iii) defective Products under the Consumer Protection Act 1987; or (iv) for any matter for which it would be illegal for us to exclude, or attempt to exclude, our liability.


6. FORCE MAJEURE

Purina will make every reasonable effort to fulfil its obligations. However, Purina cannot be held responsible or liable for delays or failure to deliver caused by circumstances beyond its reasonable control ("force majeure"). Such circumstances include but are not limited to: strikes and industrial action by third parties, civil commotion, riots, wars, natural catastrophes or any others that make impracticable or impossible the production, transportation or delivery of Products. In the event of a delay caused by force majeure, Purina's obligations will be suspended and the time for performance of our obligations will be extended for the duration of the event. Purina will perform its obligations as soon as reasonably possible, and it reserves the right to allocate any remaining Product supply among customers in a fair and reasonable manner. If we cannot perform our obligations due to such an event, you may cancel your contract. To cancel, please contact us. You will have to return (at our cost) any relevant Products you have already received and we will refund the price you have paid, including delivery charges.


7. SEVERABILITY

If any provision or part-provision of these General Conditions of Sale is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of these General Conditions of Sale.


8. LAW AND FORUM

The General Conditions of Sale (and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) and your purchase of Products from Purina shall be governed by and construed in accordance with the laws of England.

Any disputes or claims arising out of or in connection with General Conditions of Sale or your purchase of Products from Purina (including non-contractual disputes or claims) shall be subject to the non-exclusive jurisdiction of the courts of England. If you are a consumer resident in Northern Ireland, you may also bring proceedings in Northern Ireland and if you are a resident in Scotland, you may also bring proceedings in Scotland.

9. PURINA® DIRECT EMAIL PROGRAMME

These Terms and Conditions (the “Terms and Conditions”) prevail in the event of any conflict or inconsistency with any other communications, including advertising or promotional materials. Entry and claim instructions are deemed to form part of these Terms and Conditions and by participating all participants will be deemed to have accepted and be bound by them. Please retain a copy for your information.

The Promoter takes data protection seriously. By entering this promotion, participants confirm that they have read the Privacy Policy and agree to these Terms and Conditions of the promotion. By submitting any information required as part of their participation into the promotion, participants agree to their information being held and processed in accordance with the General Data Protection Regulation (GDPR) and the Data Protection Act 2018.

2. All products available for sale on the Purina Direct site are subject to availability.

3. The offer of a promotional discount is as stated in the email sent to qualifying participants and available for use when they place their next pet food order on the Purina Direct site at https://direct.purina.co.uk during the stated promotional dates and enter the promocode provided. The amount of the discount as shown in the email will be applied when the correct code is used at check out. Codes are intended for use by the original recipient only and can only be used once. Codes should not be shared or posted on elsewhere, including but not limited to social media, voucher codes sites, consumer groups, or other similar sites, as this would constitute a breach of these terms and conditions.

4. The offer is limited to the use of one promotional code/discount on one order per qualifying applicant. The promotion cannot be applied retrospectively or used beyond the stated date. The promotional code cannot be redeemed in conjunction with any other promotions. Promocodes have no cash value and cannot be exchanged for cash or any other alternative.

5. No trade, third party or bulk applications permitted.

6. The Promoter reserves the right at its sole discretion to suspend any user found to be attempting to make more than one valid claim by tampering with the operation of the promotion, setting up multiple accounts, using multiple identities or to be acting in any manner deemed by the Promoter to be in violation of the terms and conditions; or to be acting in any manner deemed by the Promoter to be disruptive.

8. The Promoter reserves the right to reject any attempt to use the promotional code that it believes to be in breach of these terms and conditions including, but not limited to, any instances where it believes the promocode is being used by anyone other than the original recipient.

9. Limitations of liability. The Promoter cannot assume any responsibility or liability for:

a. Any incorrect or inaccurate promocodes entered or for any faulty or failed electronic data transmissions.

b. Communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, computers or providers utilized in any aspect of this promotion.

c. Inaccessibility or unavailability of the internet or the website or any combination thereof.

10. Any orders, including re-orders of undeliverable items, placed after the promotional code has expired will not qualify for the stated discount and the basket will be charged at the full amount.

11. In the event of circumstances outside the Promoter's reasonable control, or in cases of fraud, abuse and/or error (human or computer) that affect or could affect the proper operation of the promotion or the awarding of promocodes, and only where circumstances make this unavoidable, the Promoter reserves the right to cancel or amend the promotion or these terms and conditions with immediate effect at any stage but will always endeavour to minimise the effect to participants in order to avoid undue disappointment.

12. Conduct of entry: Entrants of the promotion agree to be bound by these Terms and Conditions. The Promoter reserves the right at its sole discretion to disqualify any entrant found to be tampering with the promotion redemption process or the operation of the promotion; or to be acting in any manner deemed by the Promoter to be in violation of the Terms and Conditions; or to be acting in any manner deemed by the Promoter to be disruptive.

13. The Promotion and these Terms and Conditions will be governed by the laws of England & Wales but any disputes as to the meaning of these terms will be subject to the exclusive jurisdiction of the participant’s local courts.

10. SUBSCRIBE AND SAVE

a. You may choose to subscribe to a subscription plan through the Service. The subscription plan to our Service consists of an initial charge followed by recurring periodic charges as agreed to by you. By entering into a subscription plan, you acknowledge that your subscription has an initial and recurring payment feature and that you accept responsibility for all recurring charges prior to cancellation.

b. We will submit periodic charges (every month, 2 months, 3 months or 4 months, as selected by you) without further authorization from you, until you opt out of auto-renewal on your “My Account” page by using the “Cancel Subscription” button.

c. The initial payment for your subscription order will be taken at the time of checkout. Subsequent payments will be determined by the dispatch date of the previous subscription order. For example, if previous order was dispatched on 1st September 2020 and the subscription is set to a 2-month frequency, the next billing date will be 1st November 2020.

d. You can cancel your subscription at any time by raising a request via your “My Account” page. Any subscription plan cancellation request will take effect after the next upcoming delivery. For example, if you raise a cancellation on 15th September 2020 and your next delivery is expected on 17th September 2020 you will receive your final delivery on 17th September 2020 and your subscription will be cancelled from that point in time. Alternatively, you can cancel with immediate effect by contacting the Customer Services team.

e. All orders are subject to availability. If your subscription order is not available, you will be notified by e-mail (or by other means if no e-mail address has been provided) and you will have the option either to wait until the item is available from stock or to cancel your order.

f. You have the option to delay your subscription order by a month, provided notice is given at least 5 days before your next billing date. Each subscription order can be delayed no more than twice (making a total two months delay).

g. Subscribe and save discounts may be available. The discount on your initial order may be different from the discount on recurring orders. Special offers will not apply on top of any subscribe and save discount, except where it is relates to meeting a spend threshold.

h. The delivery options which you select for your first subscription order will apply for all subsequent subscription orders. Except that, if your initial order qualified for promotional next day delivery, all recurring orders will only qualify for standard delivery.

i. We reserve the right at our absolute discretion not to renew your subscription at any time without giving any reasons for our decision.


11. UGC SUBMISSION TERMS

By submitting your Content, you acknowledge that you have read and understand these Terms and Conditions (“Terms”) and you hereby confirm that you agree to be bound by them. If your Content is selected, you will be contacted via the social media platform and asked for your authorisation for Nestlé Purina to use it on Nestlé Purina owned social media channels, websites and marketing communications. To confirm your acceptance of these Terms, simply reply with the hashtag communicated to you. If no response is received within 7 days from the request, the Content will not be used. These Terms prevail over any agreement you or your employer may have with any company within Nestlé Purina. We take legal compliance very seriously. If any Content does not comply with these Terms, we reserve the right to take all necessary steps. We may change these Terms at any time without notice.

· Your Content. Please remember that you are legally responsible for what you submit. Please ensure the following rules are adhered to before submitting your Content:

· Intellectual property rights. You must be the author of the Content or have been authorised by the author. If you do not have the legal majority or have a legal guardian, please obtain their express authorisation before submitting any Content. If we receive notice of infringement, we will remove all Content and cooperate with copyright owners to resolve these issues. CUSTOMER RATINGS AND REVIEWS TERMS OF USE

These Terms of Use govern your conduct associated with the Customer Ratings and Review service offered by Nestlé (the "CRR Service"). To the extent of any conflict between Nestlé’s Privacy Policy and these Terms of Use, these Terms of Use shall control with respect to the CRR Service.

By submitting any content to Nestlé, you represent and warrant that:

• Participants may enter via Instagram by uploading a photo of their cat enjoying their Christmas cat box creation using the hashtag #felixpicknmix. Entrants must ensure their account is set to ‘Public’ to allow their entry to be included in the prize draw. The entry can be uploaded via the participants own Instagram page, provided the post includes the promotional hashtag and is set to ‘Public’ or ‘Global’.

• Alternatively, participants may enter directly via the dedicated landing page at https://direct.purina.co.uk/cardboard-cat-crafts.list by uploading a photo of their cat enjoying their Christmas cat box creation.

The winners will be the first entry drawn at random from all valid entries made via the dedicated landing page, or by posting on their own Instagram page with the required hashtag by 23:59 on 31.12.2023. The winner’s name (Instagram name if entered via Instagram, or surname if via the dedicated landing page) will be notified within seven (7) days of the closing date. The winner will be contacted via Instagram or email within 14 days of the closing date.

By participating entrants understand and agree to their photos and comments being publicly displayed on the @PurinaUKI official UK Instagram pages. Such entries may be attributed to the original entrant using their name as provided with their entry, or as shown on their Instagram account.

• Comments must not infringe the copyright or other intellectual property rights of any third party. The Promoter reserves the right to remove any comments it deems to be:

i. Violent, negative or/and discriminative of any ethnic, racial, gender, religious, professional or age group, or be profane or obscene;

ii. Promote or be about the use of illegal drugs, tobacco, firearms/weapons, any activities that may appear unsafe or dangerous, or any particular political agenda or message;

iii. Be offensive or be about hate;

iv. Defame, misrepresent or contain negative remarks about the Promoter or its products, other people, products or companies;

v. Contain trademarks owned by others or advertise or promote any brand or product of any kind, without permission;

5. The Promoter reserves the right at its sole and absolute discretion to immediately and permanently remove any comments or posts that are off topic, or it deems to be distasteful, degrading or will in any way cause offence. Comments should not mention or tag another person except where the entrant has obtained express permission to publicly share that person’s Instagram name. All entries must conform to Instagram guidelines and Terms and Conditions.

6. The Promoter reserves the right to remove any entrant from the prize draw whose social media name or photo it deems to be offensive, or it believes may cause offence to other participants.

7. The Promoter reserves the right at its sole discretion to disqualify any individual found to be attempting to tamper with the operation of the promotion, setting up multiple accounts, using multiple identities or to be acting in any manner deemed by the Promoter to be in violation of the terms and conditions; or to be acting in any manner deemed by the Promoter to be disruptive.

8. Entry into the prize draw will be automatic upon completion of the uploaded photo to Instagram and using the #felixpicknmix hashtag or directly via the dedicated landing page https://direct.purina.co.uk/cardboard-cat-crafts.list as outline in Clause 4 above. No other entry method will be available.

9. No responsibility will be accepted for entries which are incomplete, incorrectly completed, not received for whatever reason or for any technical or other error that may arise with any entry.

10. There are (2) prizes available to be won consisting of £25 Purina Direct credit. The prize can be claimed via the Purina Direct webshop only. The winner will be required to have, or set up an account (if they do not already have one) in order to claim their prize.

11. Bulk, trade, agencies or third party or automated entries are not permitted and will be disqualified.

12. The winner will be drawn at random via an independently verified computer program from all valid and genuine entries received by the above closing date.

13. If the winner cannot be contacted within seven (7) days of original notification and after three attempts, or is unable to take the prize, their prize entitlement shall be withdrawn, and the prize will be awarded to a reserve winner selected at the time of the initial prize winner. If the reserve winner does not respond within 28 days of being notified and after three attempts, the prize entitlement will be withdrawn, and the prize removed from the promotion.

14. On completion of the validation process, the prize will be sent within seven (7) days to the winners in the form of account credit via the Purina Direct webshop only. The Prizes are as stated. No cash alternative will be offered. The Promoter reserves the right to substitute the prize, should the stated item become unavailable for any reason, with an alternative of equal or greater value.

15. The Promoter reserves the right to verify all entries and the winner including, but not limited to, any entrant’s identity, and to refuse to award a prize or withdraw prize entitlement or refuse further participation in the promotion where there are reasonable grounds to believe there has been a breach of these Terms and Conditions, or any instructions forming part of this promotion’s entry requirements, or otherwise where a participant has gained unfair advantage in participating in the promotion, or won using fraudulent means. 17. By taking part in the promotion, winners agree that the Promoter may contact them to ask whether they want to participate in publicity relating to the promotion.

18. 21. Regretfully, the Promoter cannot be held liable for system failures on the website.

Entrants accept and understand that they are providing their information to the Promoter, and that Instagram have liability for any element of this promotion. Furthermore, any questions, comments or complaints regarding the promotion will be directed to the Promoter only.

23. Any person posting, or seen to be posting, comments to the ‘PurinaUKI’ social media pages or elsewhere during the promotion that are considered bullying, spiteful or upsetting to other participants, fans of ‘Purina’ or directly aimed at the Promoter, will have their comments removed and will be disqualified from the promotion. The Promoter reserves the right to alert Instagram to any such behaviour, which may result in the person’s account being frozen pending investigation.

24. Privacy Policy. As the promotion is run using Instagram, their privacy policies will apply. See above for the Promoter’s Privacy policy.

25. To ensure fairness and the integrity of the promotion to all participants, the Promoter will not enter into discussions regarding the running of this promotion via social media but will respond to questions via consumer.services@uk.nestle.com.

26. If any of these clauses should be determined to be invalid or otherwise unenforceable then it shall be severed and deleted from these Terms and Conditions and the remaining clauses shall survive and remain in full force and effect.

27. If, for any reason, any aspect of this promotion is not capable of running as planned, including by reason of infection by computer virus, network failure, bugs, tampering, unauthorised intervention, fraud, technical failures or any other cause beyond the control of the Promoter which corrupts or affects the administration, security, fairness, integrity or proper conduct of this promotion, the Promoter may in its sole discretion modify or suspend the promotion or invalidate any affected entries. If an act, omission, event or circumstance occurs which is beyond the reasonable control of the Promoter and which prevents the Promoter from complying with these Terms and Conditions the Promoter will not be liable for any failure to perform or delay in.

28. The promotion and these Terms and Conditions will be governed by the laws of England and Wales but any disputes as to the meaning of these Terms and Conditions will be subject to the exclusive jurisdiction of the participants’ local courts.

29. The Promoter reserves the right to withdraw or amend this promotion in the event of any unforeseen circumstances outside its reasonable control but will use all reasonable endeavours to minimise the effect to participants to avoid undue disappointment.

30. In the event of circumstances outside the reasonable control of the Promoter, or otherwise where fraud, abuse, and/or an error (human or computer) affects or could affect the proper operation of this promotion, and only where circumstances make this unavoidable, the Promoter reserves the right to cancel or amend the promotion or these Terms and Conditions, at any stage, but will always endeavour to minimise the effect to participants in order to avoid undue disappointment.

13. PURINA POINTS - TERMS OF USE

Effective Date: 27/07/2022

13.1. INTRODUCTION

13.1.1 This website is owned and operated by Nestlé Purina UK Commercial Operations Ltd - (“the company”). Our company information is at the end of this document.

13.1.2 These terms and conditions (“The Terms”) apply to the use of our PURINA POINTS Rewards Loyalty Program (“Purina Points”).

13.1.3 The Terms and Conditions contain important information about participants rights and obligations. By participating in Purina Points, participants fully and unconditionally accept and agree to the Terms and Conditions. If any participants do not agree with the Terms and Conditions, they may terminate their membership in Purina Points by logging into ‘My Account’ and selecting ‘OPT OUT’ under the ‘My Rewards’ section.

13.2. MEMBERSHIP

13.2.1 Membership to Purina Points is open to any current registered Purina Direct or Purina Shop account holder. The Purina Points program is open to individuals for their personal/non-commercial use only. Groups/resellers may not participate, and the company reserves the right to limit the number of participants in the program.

13.2.2 To participate in Purina Points, participants can join the program by registering for an account on Purina Direct or Purina Shop and selecting to ‘OPT-IN under the ‘My Rewards’ section.

13.2.3 Membership to Purina Points is associated to the Purina Direct website that you are shopping on.

13.2.4 Subscriptions (as part of Subscribe and Save) initiated before the launch date of 27th July are not eligible for reward points (This includes recurring orders that are dispatched after this date, will not be eligible for reward points). Purina Points is valid on new Subscribe and Saves set up post Purina Points launch.

MEMBERSHIP CANCELLATION:

13.2.4. If the shopper has already converted their points to credit, they can still use their credit to make a purchase on the website provided the credit is used within 60 days of being issued.

13.2.5. If the shopper cancels their membership, their points will disappear, and their account shows as ‘You are not currently signed up to our rewards programme’. If they sign back in/re-open their account at a later date, any unexpired points (less than 365 days from the date of issue) will be reinstated to their account.

13.3. EARNING POINTS

13.3.1 Participants in Purina Points can earn points by making qualifying purchases of Purina products or by taking certain ‘points earning’ actions.

13.3.2 In order to make a qualifying purchase, a participant must be signed into their Purina Points account at the time of the purchase.

13.3.3 Any purchases of Purina products made with other retailers are not deemed as qualifying purchases.

13.3.4 The number of points earned for each order is dependent on the actions taken:

Every full £1 spent earns 7 points

500 points = £5 off (“credit”)

Points can also be collected by:

Leaving a review = 50 points (maximum 20 per account lifetime)

Complete a Pet Profile = 75 points for each genuine, unique Pet Profile completed (maximum 4 Pet Profiles per account)

Points expire after 365 days.

13.3.5 Participants will only receive reward points for every full £1 spent on a qualifying purchase. For example, if you spend 99p you will not receive any reward points. If you spend £5.50 you will receive 35 points.

13.3.6 Reward points will be calculated based on the final payment amount of the qualifying purchase after any discount has been applied. For example, if your order value is £20 and you apply a 20% discount code, only the remaining £18 will qualify to earn points.

13.3.7 Reward points will be added to the participants points balance when the order has been confirmed and the company has received payment for that order.

13.3.8 If a participant in the program, refunds or exchanges an order the points earned for that order or part order will be removed from the points balance. The company reserves the right to adjust or deduct appropriate points from a participant’s balance.

13.3.9 Additional points may be earned by completing qualifying actions. The company reserves the right to change or update qualifying actions and their associated points at any time.

13.3.10 Qualifying actions – product reviews.

Product review points may only be earned from reviews left on a verified purchase. Points will be added once the review has been validated. Product reviews left on partner websites will not qualify to earn points. Product review points may only be earned on a maximum of 20 validated reviews left during an account lifetime and more reviews will not result in more points being awarded.

13.4. REDEEMING POINTS

13.4.1 Members can use points to redeem for discount credit at checkout. 500 points = £5 off (credit). Details of credit value can be found in the ‘My Rewards’ section located in ‘My Account’.

13.4.2 The company reserves the right to amend the points required to purchase each “credit” at any time. “Credit” values must be used within 60 days of the date of issue.

13.4.3 The minimum number of points that can be redeemed on an order is 7 points. There will be no maximum amount of points that can be redeemed on an order.

13.4.4 Multiple “credit” may be used together in any single transaction/order.

13.4.5 “Credit” redemption may be used in conjunction with other discounts or promotions.

13.4.6 “Credit” discounts do not contribute towards qualifying thresholds for discounts or free shipping.

13.4.7 Purina Points earned on orders will show as pending once your order has been dispatched and will be available to convert 15 days post dispatch.

13.5. POINT EXPIRY

13.5.1 Points earned from qualifying purchases or actions have an expiry date of 365 days from the point at which they are added to the points balance.

13.5.2 Any points not redeemed during this time will be removed from the points balance and will not be able to be exchanges for discounts or benefits and will be deleted from the participant’s balance.

13.6. REFUNDS

13.6.1 If a qualifying purchase is subsequently refunded or cancelled, the points awarded will be deducted from the points balance according to the level at which the points were earned.

13.6.2 Any points redeemed as a credit against a qualifying order that is subsequently cancelled or refunded will be reissued to the account.
